Business Sale, Acquisition & Transaction Advisory

Confidential, finance-led advisory support for promoters, investors and business owners evaluating the sale, acquisition, valuation, restructuring or strategic transfer of a business.

Structured financial support through the transaction process.

A business sale or acquisition requires careful preparation, realistic financial assessment and disciplined handling of confidential information. Promoters need to understand value, transaction structure, buyer or target suitability, due-diligence requirements and the financial implications of proposed terms.

We support business owners, buyers and investors through selected stages of the transaction process—from sale readiness and opportunity evaluation to valuation analysis, financial due diligence, transaction-structure assessment, negotiation support and closing coordination. Where included in the agreed mandate, we may undertake research and preliminary identification of potential transaction counterparties or acquisition opportunities based on defined criteria. Such support is provided strictly as part of the professional advisory engagement and does not constitute business broking.

Finance-Led Assessment

Opportunities and terms are assessed using available financial and commercial information.

03

Conflict Assessment

Potential conflicts, the party represented and any commercial or referral interests are identified before accepting or continuing the engagement. Appropriate safeguards and written consent are obtained wherever required and professionally permissible.

04

Professional Coordination

Legal drafting, statutory valuation and other specialist work are coordinated with appropriately qualified professionals where required.

Questions we hear most often.

Do you help identify buyers or businesses available for acquisition?

Where included in the professional mandate, we may undertake research and preliminary identification of potential counterparties or acquisition opportunities against agreed criteria. We do not act as business brokers, and identification does not guarantee availability, interest, suitability or completion.

Do you guarantee that a business will be sold?

No. A transaction depends upon buyer and seller interest, valuation expectations, due diligence, financing, documentation and market conditions.

Can you issue a statutory valuation report?

Business valuation analysis can be provided for advisory purposes. Where law requires a Registered Valuer or another specified professional, the assignment must be undertaken or coordinated accordingly.

Can you advise both buyer and seller?

We ordinarily act for one principal party in a transaction. Any proposed involvement with another party is subject to a formal conflict assessment, clear definition of roles, professional-independence requirements and informed written consent wherever ethically and legally permissible. Where the conflict cannot be appropriately managed, separate advisers will be required.

Do you prepare legal agreements?

We provide financial inputs and coordinate with the appointed legal adviser. Legal drafting and legal due diligence should be undertaken by qualified legal professionals.

Important Information

Transaction-advisory services are provided strictly in accordance with the agreed professional mandate and are subject to applicable ethical, independence and conflict-of-interest requirements. Any research, identification or introduction of a prospective counterparty or opportunity is incidental to the professional advisory engagement and does not constitute business broking or guarantee availability, interest, suitability, financing, agreement or completion.
